RegularYour Opportunity The Office of Corporate Governance supports the Boards of Directors for The Charles Schwab Corporation and subsidiaries.
It is responsible for legal and regulatory matters pertaining to public companies and financial services holding companies, as well as the directors and officers thereof.
As a member of Schwab's legal department, you will be responsible for providing legal counsel and support in the Office of Corporate Governance to the Boards of Directors and senior leadership of The Charles Schwab Corporation and its subsidiaries.

What you are good at Providing directors and senior executives with legal counsel on corporate governance issues.
Prepare and provide legal review and analysis of Securities and Exchange Commission (SEC) filings, including proxy statements, Forms 10-K and 10-Q, Forms 8-K, and Section 16 reports.
Advise and assist the company on corporate governance issues, including Board and corporate matters and public company communications, interactions with proxy advisory firms and stockholders, press releases and investor presentations.
Assist with planning and carrying out the Annual Meeting of Stockholders.
Assist in subsidiary management, including oversight of preparation of state and regulatory filings.
Assist in preparing and maintaining corporate governance documentation (ie, meeting minutes, resolutions, secretary certificates, bylaws, charters, powers of attorney, delegations of authority, etc.
).
Be responsible for the maintenance of director and officer information to align with legal and regulatory requirements.
Assist in the maintenance of corporate minute books and other official books and records of the holding company and assigned subsidiaries.
Advise and assist the company on compliance with SEC rules and applicable stock exchange (NYSE) requirements.
Stay current on governance trends and standard methodologies, SEC and NYSE developments.
Coordinate with and supervise outside counsel, where counsel is retained.
What you have Preferred minimum of five (5) to ten (10) years of legal experience in a law firm or public company dealing with securities regulations and corporate governance matters.
Licensed attorney.
Working knowledge of shareholder relations and ESG issues.
Working knowledge with the full range of securities regulations applicable to public companies.
Working knowledge with corporate governance standard methodologies for major public companies.
M&A and capital markets experience is preferred but not required.
Demonstrated record of leadership and initiative.
Demonstrated ability to handle confidential information with professionalism and discretion.
